TERMS OF SERVICE — Y&B CONSULTING LLC

Acceptance

By accessing or using the site or Services you agree to these Terms. If you do not agree, do not use the site or engage our Services.

Scope and Engagement

Service descriptions on the site are informational. Any consulting engagement is governed by a separate written agreement (engagement letter or contract) which prevails over these Terms in case of conflict.

Eligibility

You represent you are at least 18 years old and legally able to enter into contracts.

Client Responsibilities

Clients must provide accurate information and timely cooperation. Delays or incomplete information may affect outcomes and timelines.

Fees and Payment

Fees, payment terms, and refund policies are set in each engagement agreement. Unless otherwise stated, payments are non-refundable. We may suspend Services for overdue payments.

Confidentiality

We will protect confidential information as set forth in each engagement agreement. We may disclose aggregated, de-identified data for internal or marketing use unless otherwise agreed in writing.

Intellectual Property

Y&B retains ownership of methodologies, templates, tools, and materials provided unless otherwise assigned in writing. Client-provided materials remain client property. License terms for deliverables will be specified in the engagement agreement.

Warranties; Disclaimer

Services are provided “as is.” Except as expressly provided in a written agreement, Y&B disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

Limitation of Liability

To the maximum extent permitted by Illinois law, Y&B’s aggregate liability for any claim arising from Services or these Terms will not exceed the total fees paid by the client to Y&B for the specific engagement in the 12 months preceding the claim, or $100 if no fees were paid. Y&B is not liable for consequential, incidental, special, or punitive damages.

Indemnification

Clients agree to indemnify and hold Y&B and its affiliates harmless from claims, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising from client misuse of Services, breach of these Terms, or violation of law.

Termination

Either party may terminate an engagement according to the termination provisions in the engagement agreement. Upon termination, unpaid fees and accrued obligations remain due. Provisions intended to survive termination (confidentiality, IP, indemnity, limitation of liability, governing law) survive.

Governing Law and Venue

These Terms and any engagement agreements are governed by Illinois law without regard to conflict-of-law rules. Exclusive venue for disputes shall be state or federal courts in Cook County, Illinois, and the parties submit to personal jurisdiction there.

Modifications

We may modify these Terms. Material changes will be posted on the site with an updated effective date. Continued use after posting constitutes acceptance.

Severability and Entire Agreement

If any provision is unenforceable, remaining provisions remain in effect. These Terms plus any engagement agreement and the Privacy Policy constitute the entire agreement between you and Y&B regarding Services.
